This AGREEMENT is BETWEEN: C24 LIMITED, a company registered under the Companies and Allied Matters Act 2004 with registered address at 4, Adenubi Close, Off Majekodunmi Street, Allen Avenue, Ikeja,, Lagos, Nigeria (hereinafter referred to as “SUPER AGENT” which expression shall where the context admits include its successors-in-title and assigns) of the FIRST PART; AND Sole Agent Nigeria (hereinafter referred to as “SOLE AGENT” which expression shall where the context admits include its successors-in-title and assigns) of the OTHER PART; The Super-Agent and the Sole Agent shall jointly be referred to as the “Parties” and individually as the “Party” WHEREAS:

iC24 is licensed by the Central Bank of Nigeria (“CBN”) to operate as a Super-Agent offering financial services to customers of partner banks in Nigeria through appointed Agents.

iiThe Sole Agent has applied to the Super-Agent to be appointed as an Agent of the Super-Agent and the Super-Agent has agreed to engage him/her/it as a Sole-Agent for the purpose of providing Agent Banking Services to the Super-Agent.

iiiThe Sole Agent hereby warrants that he/she/it has the competence and requisite skills, knowledge and experience, necessary personnel and facilities to effectively act as Sole-Agent.

ivThe Parties wish to enter into this Agreement to set out the rights and obligations of each party under the Agent Banking Business.
